Agreement dated November ~ ~ , 1969, as the same may be amended
at the t.f.me of my death, which shall be held, managed, admin-
istered and distributed as a part of the principal of said
Trust: 'If for any reason a court of competent jurisdiction

shall declare this testamentary transfer to the Trustee of
said Trust to be invalid, I give, devise and bQqueath all of

BANK AND TRUST COMPANY, Venice, Florida, and its successors in
trust, in trust, for the uses and purposes and subject to the
terms and conditions set forth in that certain Trust Agreement
dated November;'%, 1969, as the same may be amended at the
time of my death. ~ ~

ARTICLE 4.
4.1) I nominate and appoint my daughter, LOIS CAN2~OA,
and the VENICE-NOKOMIS BANK AND~TRUST COMPANY, as personal
representatives of this my Last Will and Testament. If my

daughter-fails to qualify~or, for any reason ceases to serve
as such personal representative, I nominate and appoint

j VENICE-NOKOMIS BANY. AND TRUST COMPANY, Venice, Florida, and
its successors in trust, as the personal representative
hereof. I direct that no bond shall be required of any per- _
sonal representative named in this paragraph. The compen-
sation of VENICE-NOY.OMIS BP.NK AND TRUST CON.PANY for serving
as Co-Executor shall be the same as if it were serving as
sole Executor, and my daughter,LOIS CANNON, may receive _

reasonable compensation for services rendered by her as
Co-Executor.
4.2) In the administration and distribution of my.
estate, my personal representative shall have the power and .
authority, in addition to any other powers that may be con-
ferred by law: .
(a) To sell, at public or private sale, any
and all property. real or personal, at any
time forming a part of my estate, for such i
purposes, in such manner and on such terms
as my personal representative shall determine,
without the necessity of .obtaining the a al f '
