The Board of Directors shall indemnify Agent against all liability of any nature whatsoever in connection with management and operation of the property, and against all liability for injury or death of employees, or any other persons, resulting directly from the management and operation of the property. 8. Term. The term of this contract shall be 'for an initial period of one (1) year beginning on the date the first unit is sold and the sale closed and shall be automatically renewed for one (1) year periods thereafter unless a neti:.e of cancellation in writing is sent to either party by the other party, which cancellation notice must be delivered not later than three (3) months prior to the expiration of the then current period. 9. Notice. Any notice required by this agreement shall be delivered by certified mail at the addresses indicated above or at such other address as either party may designate in writing to the other party. 10. Attorneys' Fees. In the event of any suit, contro- versy, claim or dispute between Association and Agent, arising out of or relating to performance or breach of this contract, the pre- vailing party shall be entitled to recover reasonable expenses, attorneys' fees and costs. 11.
