TRANSFER AND ASSIGNMENT

FOR VALUE RECEIVED, the undersigned hereby transfers, assigns
and conveys unto Venture Acceptance Corporation all its right, title,

"interest, powers and options in, to and under that certain Hortgage
from John ra. Vittie and/or Margaret J. Vittie to Venture Out In
America, Inc., dated April 9, 1972, and recorded in Deed Book 222,
Page 1270, St. Lucie-County,-Florida records, as well as to the land
described therein and the indebtedness secured thereby, same having
been heretofore transferred, assigned and conveyed unto the under-
signed by Venture Acceptance Corporation by instrument dated January
7, 1974, and recorded in Deed Book 222, Page 2315, St. Lucie County,
Florida records.
