KRISHNA KUMAR (The "SELLER") and PIONEER INVESTMENT PROPERTIES, INC., a Florida corpora- tion whose address is 3224 South U.S. Highway No. 1, Fort Pierce, Florida 33450 (the "BUYER"). WITNESSETH: WHEREAS, SELLER has conveyed to BUYER that certain real property described in Exhibit "A" attached hereto and made a part hereof (the "PROPERTY") pursuant to that certain Warranty Deed dated October 9, 1980, (the "DEED"); and WHEREAS, SELLER has conveyed to BUYER certain fix- tures, licenses, personal property and contract rights relating to the PROPERTY pursuant to that certain Bill of Sale of even date with the DEED (the "BILL OF SALE"); and WHEREAS, there are certain agreements, covenants and ~ assurances of the parties which necessarily survive the closing of Or.tober 9, 1980._ NOW, THEREFORE, FOR AND IN CONSIDERATION of the mutual agreements, covenants and assurances herein con- tained, the sufficiency of which is acknowledged, the parties do agree as follows: 1. G. KRISHNA KUMAR is the sole owner of and is authorized to sell the land, building, furniture and fixtures, licenses, leases and personal property, compris- ing the BEST WESTERN EXECUTIVE INN, located at 3224 South U.S. Highway No. 1, Fort Pierce, Florida. ; 2. PIONEER INVESTMENT PROPERTIES, INC. is a valid Florida corporation in good standing in all respects and is authorized to buy said lands, buildings, furniture and fixtures, leases, licenses and personal property compris- X340 p,~i73? _ _
