direct bills to guests for lodging or other services
incurred prior to October 9, 1980, have been forwarded to
said guests. In the event said monies are received by the
BUYER, said monies will be transferred immediately to '
SELLER. The parties further recognize and agree that
there are guests in the motel as of the date of closing
whose bills will have to be prorated. Insofar as possible
on American Express, Diner's Club, and other credit card
charges, the desk clerk shall attempt. to make separate
charges for that period prior to October q, 1980, and
that period subsequent to October 8, 1980; and any monies
received from credit card charges for guests lodging or
services prior to October 9, 1980 will be immediately
forwarded to SELLER. Cash and accounts receivable of

guests will be prorated as of Neer, October Q, 1980.
13. The parties, hereto agree that the purchase
price of $3,100,000.00 will be allor_ated as follows:
Land and Buildings $2,764,500.00
Goodwill 5,000.00
Furniture, fixtures, equipment
and supplies 330,500.00
14. The covenants herein contained shall bind and
the benefits and advantages shall inure to the respective
heirs, executors, administrators, successors and assigns
of the parties hereto.

15. Any notice or other communication required or {
permitted to be given by the parties hereto shall be in ~
writing and shall be delivered by hand or by mail,
postage prepaid, certified return receipt requested, ad-
dressed to the parties at the following:
