That the parties will use their best efforts and due 831igence to procure from David Walker a land exchange whereby Walker would move his East boundary 10 feet to the East in exchange for 10 feet on his West boundary to be conveyed to SAFRIT. This 10-feet of ad$itional frontage would be included, if acquired, in the total frontage to be divided equally between JAMES and ~AF'RIT. 4. JAMES and SAFRIT agree it is their expressed intention to develop a shopping center upon the~.r respective lands and shall share equally in the cost to develop, construct, pave and maintain the access strip over and upon their. respective lands, which access is herein de- fined. 5. That JAMES and SAPRZT do further mutually agree that as - to all lands they are presently purchasing from Philip Hoeffner and wife, to-wit: Exhibits and "B" lands, that they offer the first right of refusal between each other as to their respective lands to purchase the same as follows: In the event either party hereto desires to sell his property, he shall first offer same to the non-selling party hereto, together with price and terms specified. Additionally, should either party desire to~sell said property and receive a written offer ~I - to purchase from one other than the remaining party to this Agreement, the non-selling party hereto shall be given a period of sixty (60) days - c - from said written offer and/or tender, within which to agree to pur- i F chase at the same price, terms and conditions offered by others. In the event the non-selling party hereto fails, in writing, to elect to - purchase pursuant to the terms .and conditions containefl in any bona fide offer to purchase made by the selling party hereto within sixty (60) flays, the non-selling party's rights hereunder shall terminate, PROVIDED, failure pf the selling party to close any bona fide offer ~ atiall renehr the non selling party's right of first refusal to purchase as herein described. z ~ 6.
