property whenever it is deemed necessary and at a price which
is deemed adequate, without the intervention of any Court and,
fn the distribution of my Estate, notwithstanding the fact that
-gifts of my Estate are of shares in certain assets of my Estate,
those .shares need not be satisfied by distribution of divided
shares in those assets, but rather, in the discretion of my Executri -
or Alternate Executor, any distribution may be partially or wholly
satisfied in cash or in kind or by both, so long as it is fair
"and-proportionate in value to any other distribution.
