mentioned real estate and water company are evidenced by three
separate contracts entered into by and between the debtors
herein and Unik Group Corp., which contracts are subject to the
approval of this Court, and it appearing that copies of said
contracts were available for inspection in accordance with the

terms of the Notice, and it further appearing that copies of }
said Notice have been served upon all interested counsel and all 1

creditors of the debtors herein, and the Court having considered ~
the testimony concerning the facts and circumstances of said
proposed sales, including evidence as to value, payment schedules
and proposed development of said land, as well as the experience,
ability and expertise of the proposed purchaser to go forward
with said development in accordance with the terms and conditions
of the contracts heretofore referred to and the Court having
heard testimony as to the payment allocations to the various
mortgages encumbering the properties in question, as well as the
payment of sums over and above said mortgages to be paid to the
debtors, part of which proceeds are to be used for the implemen-
tation of the payments required by the Plan of Arrangement, and
it further appearing that the Plan of Arrangement will be amended
to indicate the improvement of said plan as a result of the 3
sale of this real estate, and it further appearing that the final
~ agreements with the three secured lenders concerning the pay-
ment arrangements on their respective mortgages, although agreed
upon in concept, have not yet been set forth in final written
submitted to Creditors Committee before bein
form, and upon said .written agreements being/executed, shall be
submitted with a proposed order to this Court on notice to
counsel to the creditors committee, and it further appearing that
~ the offer of Unik 'Group Corp. to purchase the 70.9 acres for the
~ sum of 54,500,000.00, and the oceanfront property for ~
52,625,000.00, is a fair and equitable offer, and it appearing
