this Court shall have no further jurisdiction over the 70.9 Acre Parcel or the Ocean
Front Parcel, nor the Purchase Money Notes and Mortgages, except with regard to
the application of payments received by the holder of the Purchase Money Notes
and Mortgages, it being understood that the foreclosure or enforcement of the lien
of any mortgage encumbering either the 70.9 Acre Parcel or the Ocean Front
Parcel shall not be subject to the stay power or jurisdiction of this Court In these
proceedings and that the holder of the Purchase Money Note and Mortgage may be
made a party to such foreclosure proceedings or other enforcement proceedings;
and It is further
ORDERED that the Debtor, OCEAN PARK ASSOCIA?ION, INC., and
Receiver, be and they arc hereby authorized to execute all Deeds, Bills of Sale,
Affidavits, Quit-Claim Deeds, Assignments and other Instruments and documents
which they and their counsel deem necessary and appropriate In order to effect a
closing on the title of the 70.9 Acre Parcel as described on Exhibit A, the Ocean
Front Parcel as described on Exhibit B, The St. Lucie Sewec Company and The
North Beach Water Company Including the real property described on Exhibit C,
and all documents and instruments enumerated on tht attached schedule and such -
other documents as are necessary to effect same; and It Is furthec
ORDERED that Lehman do Wasserman, a Professional Association, shall be
the named payee in the Purchase Money Notes and the named Mortgagor In the
I'I Purchase Money Mortgage, and are authorized without further order of this Court

to execute such subordinations and releases of lien as may be required by the terms
of said documents and to join in such other agreements or documents as may be -

ORDERED that the Debtors and Receiver are authorized to execute the
agreements pertaining to the right of first refusal .granted to UNIK GROUP CORP. -
and/or its assigns to other properties owned by the Debtors in St. Lucie County,

Florida, as more particularly set forth in the Agreements for Purchase and Sale as
attached to the Application and Notice RE: Proposed Sale of 70.9 acres of land
located in Ft. Pierce, Florida; 110D feet of oceanfront property and North Beach
