THIS AGREEMENT, made this ~ day of November, 1980
by and between BANKERS TRUST COMPANY, a New York banking
corporation (hereinafter referred to as "Bankers"), THE SANDS
LAKE VIEW DEVELOPMENT, a Florida partnership (hereinafter
referred to as "Lakeview"), and THE SANDS OCEAN VIEW

A. Bankers did make a mortgage loan (hereinafter
referred to as "loan"), to Lucille V. Costa, Inc. (hereinafter
referred to as "LVC"), which loan is secured by a certain
mortgage given by LVC to Bankers dated March 20, 1974, and
recorded in Official Records Book 225 at Page 570 of the Public i
Records of St.~Lucie County, Florida, which mortgage, as
amended heretofore and herein is hereinafter referred to as the

"Lakeview mortgage", and said mortgage encumbers, inter alia,
certain real property particularly described on Exhibit 1 `
