e above, being all of the parties having any interest

in the Oceanview Property and Lakeview Property and/or being f
liable for the indebtedness secured by the Oceanview mortgage
and/or Lakeview mortgage, did enter into, with the approval of ~
the Court, certain agreements, as modified, for the sale of the
Lakeview Property and the Oceanview Property to Lakeview and
Oceanview, respectively, which agreements are dated the 11th
' day of January, 1980, as amended, the closing of said
agreements and the purchase of the properties by Lakeview and
Oceanview, respectively, were conditioned upon the ~
reinstatement of the Lakeview mortgage and Oceanview mortgage
and the substantial modification of each mortgage as herein
provided and the Note so as to enable said sale thereof and to
facilitate the development of said properties by Lakeview and

Oceanview as separate, multiple, residential condominium
projects; and
R. ~ The Court has entered an order dated the
day of November, 1980, a copy of which has been or is being
recorded concurrently herewith, approving the sales of the
Oceanview Property and Lakeview Property and the modification
of the Lakeview mortgage and the Oceanview mortgage, as herein
modified, and the modification of the Note and other
~ instruments and to consent to the other agreements herein
contained and elsewhere provided in separate agreements;
