NOW, THEREFORE, for and in consideration of the -
premises, the said Court Order, and other good and valuable
considerations, the receipt and sufficiency of which is hereby
acknowledged, Bankers and Lakeview; and Bankers and Oceanview;
and Bankers and Oceanview and Lakeview hereby agree as follows:
1. All of the foregoing recitals are true and
accurate and constitute a part of this Agreement and may be
relied upon by Bankers.
2. The terms of the Oceanview mortgage are hereby
~ and herewith modified and amended by substituting therefore all

of the terms of the mortgage attached hereto. as Exhibit 3 and
made a part hereof so that from and after the date hereof, the
terms of the Oceanview mortgage shall be identical with the
terms of the mortgage in Exhibit 3. The terms of the Oceanview
mortgage are hereby and herewith modified so that, to the
extent not already provided for, the Oceanview mortgage shall
include as mortgaged property all machinery, apparatus,
equipment, fittings, fixtures and all other personal property
now or hereafter placed on, attached to or used in connection
with the Oceanview Property and any improvements. erected
thereon.
