3. Paragraphs 21, 22, 23 and 27 of the Lakeview
mortgage are from and after the date hereof hereby deleted and
of no further force or effect. Paragraph 25 of the Lakeview
mortgage is modified as follows with respect to financial
statements of Lakeview: Lakeview must furnish Bankers with
financial- statements certified by independent public
accountants only if such statements are prepared by Lakeview or
are required by any other mortgagee or construction lender.
Otherwise, Lakeview must furnish Bankers Trust Company with
statements certified by a general partner of the Mortgagor, if
the Mortgagor is a partnership, or a corporate officer of the

Mortgagor, if -the Mortgagor is a corporation. The terms of the
Lakeview mortgage are hereby and herewith modified so that, to
the extent not already provided for, the Lakeview mortgage
shall include as mortgaged property all machinery, apparatus,
equipment, fittings, fixtures and all other personal property
.now or hereafter placed on, attached to or used in connection
with the Lakeview Property and any improvements erected
thereon.
4. Lakeview and Oceanview agree that the
indebtedness and all obligations of the Note, as modified .
simultaneously herewith, is secured by the Lakeview mortgage
and by the Oceanview mortgage (sometimes collectively referred
