to Lehman and 1~asserman, a professional corporation, as
trustee for the Creditor's Committee and the Costa Group
pursuant to the Plan of Arrangement, all as more
particularly designated below, to secure a portion of the
purchase price of the property, which mortgage is dated
November S , 1980 and is to be recorded in the Public
Records of St. Lucie County, Florida after the recordation
of this instrument, and which mortgage is hereinafter.

this instrument the term "Creditor's Committee" shall mean

represent all unsecured creditors in the bankruptcy
proceedings referenced herein; the-term "Costa Group" as
used herein shall mean and include Lucille V. Costa,
individually, George Costa, individually, and Lucille V.
Costa, Inc. and as the sole stockholders of Ocean Park
Association, Inc., the "plan of arrangement" shall mean
that certain plan of arrangement that is presently pending
before the Bankruptcy Court in the bankruptcy proceedings
referenced herein that is expected to be approved by the
Bankruptcy Court following the recordation of this

instrument; and. the "Control Group" as used herein shall
mean that group of individuals and related individuals and
