Oceanview understands and agrees that any change in the _
ownership and control of Oceanview whether by operation of
law or otherwise, resulting in the Control Group, being
all the legal and beneficial owners of Oceanview,
including the stockholders of any corporate partner of
Oceanview, owning and controlling less than 60~ of the
legal and beneficial interest of Oceanview and/or
resulting in Octavio Buigas and his immediate family
owning and controlling less than 50$ of the legal and
beneficial interest in Oceanview and/or Octavio Buigas t
shall not remain actively involved in the management of

Oceanview without the prior express written consent of
Bankers then the same or either of same shall constitute a ~
default under the Oceanview mortgage. It shall not ~
constitute a default under the Oceanview mortgage if
Octavio Buigas shall not remain actively involved in the
management of Oceanview if such failure is due to his
death or mental or physical incompetence provided the
successor management of Oceanview is consented to in _
writing by Bankers, which consent shall not be
unreasonably withheld.
