CONSENT AND AGREEMENT
THIS AGREEMENT, made this S` day of November, 1980, by
°and between BANKERS TRUST COMPANY, a New York banking
corporation, first party (hereinafter sometimes referred to as
"Bankers"), and LUCILLE V. COSTA and GEORGE A. COSTA, both
individually (hereinafter referred to as "Costas") and as
guarantors (hereinafter referred. to as "Guarantors") and
LUCILLE V. COSTA, INC., a Florida corporation (hereinafter -

WHEREAS, the parties hereto have each reviewed and are

instruments") that are described in the Exhibit A hereto and

described in said Exhibit A and copies of which are attached
