CONSENT AND AGREEMENT ~

"Bankers"), and LUCILLE V. COSTA and GEORGE A. COSTA, both -
individually (hereinafter referred to as "Costas") and as
'guarantors (hereinafter referrecT~ to as "Guarantors") and
LUCILLE V. COSTA, INC., a Florida corporation (hereinafter
referred to as "LVC"), and GERALD H. GLINE, Receiver in
