Pierce, Ft. 33450 ' (305) 461.0740 .,t ~ RIGHT OF FIRST REFUSAL THIS GRANT OF RIGHT OF FIRST REFUSAL made this S~`"day of November, 1980, by and between LUCILLE V. COSTA, joined by her husband, GEORGE A. COSTA (hereinafter referred to collectively as "First Party") to THE SANDS OCEAN VIEW DEVELOPMENT, a Florida Partnership, whose address is S00 NW 16S Street Road, Miami, Florida (hereinafter referred to as "Second Party"); WHEREAS, Second Party is simultaneously herewith purchasing from First Party certain real property situate in St. Lucie County, Florida, pursuant to the provisions of an Agreement of Purchase and Sale dated January 11, 1980; and WHEREAS, First Party also owns three (3) parcels of real property located in St. Lucie County, ~ Florida, and more particularly described in Exhibit "A" attached hereto and hereinafter referred to collectively as "the Parcels" and individually as "a. Parcel"; and WHEREAS, none of the Parcels is currently under Contract For Sale; and , WHEREAS, the Second Party desires to be afforded an opportunity to purchase the Parcels if and when they are offered for sale. NOW, THEREFORE, in consideration of Second Party's purchase from First Party of the property that is the subject matter of the aforementioned Agreement for Purchase and Sale and in consideration of those premises and of the payment of TEN ($10.00) DOLLARS by Second Party to First Party, receipt of which is heresy ' acknowledged, and other good and valuable considerations flowing and received from Second Party to First Party, First Party grants to Second Party a Right of ~ First Refusal to purchase the above-described real property pursuant to the following terms and conditions: 1. Offering Notice. It First Party receives a bona fide offer for the ~ purchase of one or more of the Parcels, or if any liquidator, receiver, trustee in f bankruptcy or similar authority having control over First Party or their assets receives at any time such an offer (the recipient of any such offer being hereinafter called the "First Party"), which offer complies with the provisions of Paragraph 2 hereof and which offer they desire and intend to accept, before accepting such offer, they shall give notice (the "Offering Notice") to the Second Party, which shall incl'ude~ a true copy of such offer, whereupon the provisions set forth in Paragraph 2 hereof shall apply. First Party shall not accept an offer unless such offer complies with the provisions of Paragraph 2 hereof. 2. Requirement of Offer.
