The undersigned hereby warrant and represent that FWC, INC.
is the owner of the property encumbered by the above-described
mortgage and further represent and warrant that said property
is unencumbered except for taxes for 1980 and that certain
wrap around mortgage in the original principal amount of One
Hundred Thirty-Five Thousand ($135,OOA.00) Dollars given by
the undersigned to the aforementioned Mortgagor, dated January 2,
1979 and recorded in Official Record Book 300 at Page 2583 of
the Public Records of St. Lucie County, Florida, as modified
by that certain Mortgage Modification Agreement dated September
12, 1980 and recorded in Official Record Book 338 at page 2818
of the Public Records of St. Lucie County, Florida. Said wrap
around mortgage, as modified, is current and in good standing.
The undersigned further agree to make all payments under
the above-described wrap around mortgage, as modified, directly
to the Sun Bank of St. Lucie County, or its assigns, as con-
templated in the .provisions set forth in Paragraph 3 at Page 3
thereof. The undersigned also agree to continue such direct
payments until receipt of notice in writing to do otherwise from
both the Sun Bank of St. Lucie County, and/or its assigns, and
Jacobson-Rea, Inc.
The undersigned consent to the foregoing mortgage modification
agreement between Jacobson-Rea, Inc. and the Sun Bank of St.
Lucie County and acknowledge the priority of said mortgage, as
