The undersigned hereby consents to payment of all amounts
due under the above described wrap-around mortgage, as modified,
directly to the Sun Bank of St. Lucie County. This consent is
coupled with an interest and is irrevocable until otherwise
agreed upon, in writing, by Sun Bank of St. Lucie County.

The undersigned, Guarantors of the obligation of JACOBSON-
REA, INC. under the mortgage described in the foregoing mortgage
Modification Agreement, hereby consent to said Mortgage Modification
