HomeMy WebLinkAbout0791 The purpose of the meeting shall be t~ elect directors and to transact an}~ other vusiness authorised t~~ t;e transacted by the members ; provided that i f tt~e date for tt~e f i rst annua 1 meeting of members subsequent to relinyuishment of control by the developer of the Condominium is less than six months after the first election of directors by the membership of the Association, this annual meeting shall not he held, and the directors first elected by the membership of the Association shall serve until the date for the next followiny annual meeting. 2.3. SPF.CIr1I. MEMBERS' MEETINGS shall be held at such places as provided Eor annual meetinys whenever called l,y the President or by a majority of the board of directors, and must be called by those officers upon receipt of a written request from a majority ~,f the members of the Association. The b~~siness conducted at a special meeting shall be limited to that stated in the notice of the meeting. 2.4. NOTICE OF A MEETING of members stating the time and place and the objects or w ich the meeting is called shall be given by the officer calling the meetiny. A copy of the notice shall be posted at a conspicuous place on the Condominium property and a copy shall be mailed by certified mail to each member entitled to attend the meeting except members who waive the notice in writing. The mailing shall be to the address of the member as it appears on the roster of members. The posting, and mailing of the notice shall be effected not less than fourteen days nor more than sixty days prior to the date of the meeting. Proof of posting and mailing of the notice shall he given by the affidavit of the person serving the notice. Notice of a meeting may be waived in writing before or after the meeting 2.5. A uorum at members' meetings shall consist of persons entitled to cast a majority of the v ces of the entire membership. The acts approved by a majority of the votes cast at a meeting at which a quorum is present shall constitute the acts of the members, except when approval by a greater number of members is required by the Declaration of Condominium, the Articles of Incorporation or these 8y-laws. 2.6. VOTING. a. The members of the Association shall be entitled to cast one vote for each apartment owned by them. b. If a unit is owned by one person his right to vote shall be established by the roster of members. If a unit is owned by more than one person, the person entitled to cast the vote for the unit shall be designated by a certificate signed by all of the record owners of tt?e unit according to the roster of unit owners and filed with the Secretary of the Association. If a unit is owned by a corporation, the person entitled to cast the vote for the unit shall be designated by a certificate signed by the president or vice president and attested by the secretary or assistant secretary of the corporation and filed with the Secretary of the Association. Those certificates shall be valid until revoked or until superseded by a subsequent certificate or until a change in tt~e ownership of the unit concerned. A certificate designating the person entitled to cast the vote for a unit may be revoked by any owner of a share in the unit. If a certificate designating BOCK J4~ PdGE 1 2 a
