WHEREAS, satisfactory evidence has been presented to the Comptroller
of the Currency that all requisite legal and corporate action has been taken,
in accordance with the statutes of the United States, to merge Sun First
National Bank of Orlando, Orlando, Florida and Sun Bank of Osceola County,
St. Cloud, Florida into Sun Bank of Seminole, National Association, Fern Park,
Florida under the charter of Sun Bank of Seminole, National Association and
under the title "Sun Bank, N.A.";
NOW, THEREFORE, it is hereby certified that such merger was approved
September 10, 1980, and is effective as of the opening of business November 14,
1980.
