~i° MORTGAGE AND SECURITY AGREEMENT

THIS INDEVTURE, Made this 5 day of December, 1980,
by and between
THEODORE T. TARONE
WILLIAM E. EATON, and
DAVID A. WARD
and all other persons executing this mortgage, hereinafter called
"Mortgagor", and CALLAWAY LAND & CATTLE CO., INC., a Florida
corporation having its principal office at Vero Beach, Florida,
and its mailing address being P. O. Box 3928 - Vero Beach, FL 32960
hereinafter called the "Mortgagee".
WHEREAS, Mortgagor is justly indebted to Mortgagee in the
principal sum of Three Hundred Thousand & 00/100 ($300,000.00)
Dollars, and has agreed to pay the same with interest thereon
according to the terms of a certain promissory note or obligation
bearing even date herewith, providing for the payment thereof
in one installment due and payable on February 1, 1981.
NOW, THEREFORE, this indenture WITNESSETH:
That Mortgagor, in order to secure said indebtedness and any
future indebtedness or liability due or to become due Mortgagee by
Mortgagor, as provided herein, and the performance of the agreements,
covenants and conditions herein contained, and also for and in
consideration of the sum of ONE DOLLAR ($1.00) paid by Mortgagee
to Mortgagor, receipt whereof is hereby acknowledged, has granted,
bargained, sold .and conveyed and by these presents does grant,
bargain, sell and convey unto Mortgagee all of the real property
hereinafter called "Mortgaged Premises" lying, being and situate
in St. Lucie County, State of Florida, described as follows:

MADE A PART HEREOF.
together with all fixtures and all buildings, improvements, irriga-
tion and drainage equipment (exclusive of portable pipe and fittings
and unmounted pumps) naw or hereafter located on the premises,
which are hereby declared to be fixtures, and all renewals, replace-
ments and additions to such fixtures, and all the rents, income,
issues, proceeds, produce and profits of and from the Mortgaged
Premises , together with al l the reversions , remainders , ways , ease-
ments, servitudes, streets, passages, rights, privileges, lands,
tenements, hereditaments and appurtenances thereunto belonging or in any
wise appertaining, including specifically and not by way of limita-
tion, all water, riparian, irrigation and drainage rights, and oil,
gas and mineral rights and royalties; and together with all judgments,
awards of damages and settlements hereafter made as a result or
in lieu of any taking of the Mortgaged Premises or any part thereof
under the power of eminent domain, or for any damage (whether
caused by such taking or-otherwise) to the Mortgaged Premises
or the improvements thereon or any part thereof.
