and between GII~IERAL DEVEIDHMENT CQ<2PORATION, a De aware corporation,
hereinafter called the Assignor (which term as here and hereinafter
used shall be construed to include the plural thereof if the context
so requires), whose principal address is 1111 ~~ Bayshore Drive,
Miami, Florida 33131 to AMERICAN SAVINGS AND IIaAN ASSOCIATION OF
FIORIDA, a Florida corporation, hereinafter called the Assignee; whose
principal address is 1655 Washington Ave., Miami Beach, Florida
33139;
WITNESSETH:
~riat assignor, for good and valuable consideration, receipt
whereof is hereby acknowledged, hereby grants, transfers and assigns
to assignee the entire Lessor's interest in and to a certain lease
(which term as here and hereafter used shall be construed bo include
the plural thereof if the context sD requires), described as follows:

Zbgether with all rents, income and profits arising from
said leases and renewals thereof and together with all rents, income
and profits for the use and occupation of the premises described in
said leases or in the mortgage hereinafter referred to and at the op-
tion of assignee, from all leases upon said premises which may be exe-
cuted in the future during the term of this assigrn-ent.
This Assignment is made for the purpose of securing:
A. ~e payment of principal sum, interest and indebtedness evi
dented by a certain Promissory Note (it being agreed that the word
"rote" as hereinafter used shall be construed to mean "bond" if the
context so requires), including any extensions or renewals thereof,
the original principal sum of FIVE MILLION ONE H{RJDRED SEVFNI'Y FIVE
THOUSArID AND NO/100 DOLLARS ($5,175,000.00) made by and between
GF1dERAL DEVELiOPME~ OORPOItATION to AMERICAN SAVINGS AND IOiAN ASSOCIA-
TION OF FIDRILIA, dater] ~ ~p and secured by a Nbrtgage (it
being agreed that the word mortgage" as hereinafter used shall be
construed too mean "trust deed" or "deed of trust" or "deed b~ secure
debt" if the context so requires) on real property situated in St.
Lucie County, such real property as legally described on Exhibit A
attached hereto.
B. Payment of all other sums with interest thereon becaning due
and payable to assignee uu~der the provisions of this assignment or of
said note and mortgage.
C. ~e performance and discharge of each and every obligation,
covenant and agreement of assignor contained herein or in said note
and mortgage.
Assignor warrants that assigror is the sole owr:er of the err
tire Lessor's interest in said lease; that said lease is valid and en-
forceable and has not been altered, modified or amended in any manner
whatsoever save as herein set forth; that the lessee named therein is
not in default under any of the terms, covenants or conditions there-
of; that no rent reserved in said lease has been assigned or antici-
