LAST WILL ANU TESTAMENT
I, C~IINE PARISE, a/k/a CARL PARISE, presently of the County
of St. Lucie, Corm~onwealth of Florida, hereby declare this to be my
Last Will and revoke all Wills which I have previously made.
FIRST: I~direct that my Executrix, hereinafter Homed, pay
and discharge all legal debts and funeral expenses os soon as conven-
iently possible after my death.

SEQOPD: All the rest, residue and remainder of my property,
whether real or personal or mixed, be the same of whatsoever kind,
wheresoever situate and whensoever acquired, I give, devise and bequeath
to my wife, BETTY LOU PARISE, the some to be hers absolutely; con-
ditioned-, however, that in the event my said wife should predecease me,
I give, devise, and bequeath all the rest, residue, and remainder of
my property, whether real, personal, or mixed, be the same of whatsoever
kind, wheresoever situate and whensoever acquired to my children and
stepchildren, FRANK R. FLEISCtMIW, JR., CARL A. PARISE, LINDA LOU
FLEISCFMAN, STEVEN J. PARISE and OOMINIC P. PARISE, share and share
alike, provided they are living at my death. For purposes of this Will,
it is my specific intent that my children and stepchildren all be treated
as my legitimate children.
IN THE EVENT any of my above children should predecease me and
die without issue, their respective share shall be divided equally among
my surviving children.
IN THE EVENT any of my above children should predecease me and
die with issue, their respective share shall be divided among their issue,
per stirpes.
STEVEN J. PARISE'S share shall be held in trust by CARL A. PARISE,
or if he is unable or unwilling to serve as trustee, then by DOMINIC P.
PARISE. The trustee shall have maximum flexibility and discretion to
administer this trust for STEVEN'S health, maintenance, welfare and
benefit, shall not have to post any bond, and may terminate this trust
when he feels it is in STEVEN'S best interest.
THIRD: All estate, inheritance, succession and other taxes,
imposed or payable by reason of my death, including interest and pen-
alties thereon, with respect to all property comprising my gross estate
for tax purposes, whether or not such property passes under this Will,
shall be paid out of the principle of my residuary estate, without
apportionment or right of reimbursement.
FOURTH: I authorize my Executrix and her successors to exercise
the discretionary power, in addition to those given by law, to retain
any real or personal property which may at any time form o part of my
estate as long as she deems advisable; to invest in any real or personal
property without restrictions to legal investments; to repair, alter,
improve or lease for any period of time any real or personal property
and to give options for leases; to sell at public or private sale, for
cash or credit, with or without security, to exchange or to partition
real or personal property and to give options for sales or exchanges;
to compromise claims; and to make distribution in kind.
