FIFTH: I appoint my wife, BETTY LOU PARISE, as Executrix of
this Will. Should she, for any reason, fail to qualify or cease to
act as such during the administration of my estate, I appoint my sons,
FRANK R. FLEISCfMAN, JR. and CARL A. PARISE os Co-Executors with the same
duties, powers and discretion as if originally appointed. Neither
Executor shall be required to enter bond or furnish securities in any
jurisdiction.
IN WITNESS EREOF, I have set my hand and seal to this Will,
