is to survive the merger:
ARTICLE I
That certain plan and agreement of inerger (the "agreement")
dated October 10, 1977 by and between KO HA, INC., a Florida
Corporation, and SPORTSMAN CENTER, INC., a Florida Corporation,
attached and made a part of this instrument, was duly approved
by the shareholders of KO HA, INC. and SPORTSMAN CENTER, INC.,
pursuant to Section 607.221 of the Florida General Corporation
Act (the "act") on October 10, 1977.
ARTICLE II
Of the 50 outstanding shares of the common stock, par value
of $100.Q0 per share, of SPORTSMAN CENTER, INC., entitled to vote
as a class upon the agreement, the holders of all of these shares
have voted in favor of and authorized the agreement in accordance
with Section 607.221 of the act.
Of the 100 oustanding shares of the common stock, par value
of $1.00 per share, of KO HA, INC., entitled to vote as a class upon
the agreement, the holders of all of these shares have voted in
favor of and authorized the agreement in accordance with
Section 607.221 of the act.
ARTICLE III
The articles of incorporation of KO HA, INC. shall be unamended
and shall continue as the articles of incorporation of the surviving
corporation.
