If the meeting is rescheduled, the directors elected at the first annual meeting and the officers elected as a result of the directors' meeting will hold office until the annual meeting is held. (b) At the annual meetinq, the members, by a plurality v~te, shall elect a Board of Directors and transact such other business as may properly come before a meeting. (c) Written notice of the annual meeting shall be given to each unit owner and shall be posted in a conspicuous place on the condominium properties at least fourteen (14) days prior to the annual meeting. The notice of the annual meeting shall be sent by mail to each unit owner and the post office certificate of mailing shall be retained as proof of such mailing. Section 3. Membership List: At least ten (10) days before every regular meeting of the membership, a complete list of members entitled to vote at said meeting, arranged numerically by units, with residence of each, shall be prepared by the Secretary. Such list shall be produced and kept for said ten (10) days at the office of the Association, and shall be open to examination by any member throughout such time. Section 4. Special Meetings: (a) Special meetings of the members, for any purpose(s), unless otherwise prescribed by law, the Declarations of Condominium, or Articles of Incorporation, may be called by the President, and shall be called by the President or Secretary at the written request of one-third (1/3) of the voting members. Such request shall state the purpose(s) of the proposed meeting; (b) Written notice of a special meeting of inembers, stating the time, place and purpose(s) thereof, shall be served upon or mailed to each voting member at the address as it appears on the books of the Association, at least five (5) days before such meeting; (c) Business transacted at all special meetings shall be confined to the purpose(s) stated in the notice of the meeting; (d) Unit owners may waive notice of special meetings and may take action by written agreement without meetings, if allowed by law, the Declarations of Condominium, and the Articles of Incorporation. Section 5. Quorum: A majority of the total number of voting members of the Association, present in person or represented by written proxy, shall be required for and shall constitute a quorum at all meetings of the members for the transaction of business, except as otherwise provided by statute, by the Articles of Incorpration or by these By-Laws.
