SALES AGREEMENT AND ~
SECURITY AGREEMENT
THIS MEMORANDUM OF AGREEMENT made in duplicate on
this 18th day of December, 1980 by and between JOHNSON OIL
COMPANY, INC., a Florida corporation, with its principal

place of business at 3401 Oleander Avenue, Fort Pierce, Florida
33450; hereinafter called "Johnson", as First Party; and
WILLIAM R. HALL and BETTY P. HALL, his wife, 3302 Orange
Avenue Extension, Fort Pierce, Florida 33450, hereinafter
referred to as "Hall", as Second Party.
W I T N E S S E T H:
WHEREAS, Hall is the owner and operator of an automobile
service station situate at 3302 Orange Avenue Extension,
Fort Pierce, St. Lucie County, Florida, beinq situate on real
property legally described as follows:
Beginning on the North line of the right of way of
Orange Avenue at the intersection with the West line
of the ~ight of way of Angle Road, said North line
of Orange Avenue being 40 feet distant from center
line measured at right angles thereto, and the West
right of way of Angle Road being 33 feet from center
line measured at right angles thereto in the SE 1/4
of the NW 1/4 of Section 8, Township 35 South, Range
40 East; thence run Northwesterly along the Westerly
right of way of Angle Road 193.31 feet to its intersec-
tion with the South line of Lot 6, of ROME ACRES,
Unit 1, as per plat thereof recorded in Plat Book
7, page 12, public records of St. Lucie County; thence
run West along the South line of said Lot 6, HOME
ACRES, Unit 1, a distance of 206.63 ~feet; thence run
Southeasterly on a line parallel to the Westerly right
of way of Angle Road a distance of 193.31 feet to
the North right of way line of Orange Avenue; thence
run Easterly along the North right of way line of
Orange Avenue 206.63 feet to the point of beginning;
and
WHEREAS, said property is in need of various improvements
to the real and personal property to encourage and stimulate
the retail sale and marketing of gasoline and other petroleum
products; and
WHEREAS, Johnson is the local representative of Amoco
Oil Company and as such is engaged in the wholesale distribu-
tion and sale to automobile service stations of gasoline
and related petroleum products for a profit; and
