In the absence of the presiding officer the director.s present shall designate one of their number to preside. 3.12 The order of business at directors' meetings shall be: (a) Calling of roll (b) Proof of due notice of ineeting (c) Reading and disposal of any unapproved minutes (d) Reports of officers and committees (e) Election of officers (f) Unfinished business (g) New business (h) Adjournment 3.13 Directors' fees, if any, shall be determined by the members.
