THIS DEED, dated as of November 3, 1980 from THE SOUTBLAND
CORPORP,TION, a Texas corporation having an address at 2828 North
Haskell Avenue, Dallas, Texas 75204 ("Grantor"), to AMERICAN PROP-
ERTY INVESTORS X, a California limited partnership doing business
as AMERICAN PR4PERTY INVESTORS X(LTD.) for the purpose of qualify-
ing in Florida as a foreign limited partnership hav~ng an address
at 666 Third Avenue, New York, New York 10017 ("Grantee").
W I T N E S S E T H:
That said Grantor, in consideration of the sum of Ten
($10.00) Dollars and other good and valuable consideration paid by
Grantee, the receipt of which is hereby acknowledged, does hereby
grant and convey unto Grantee, its successors and assigns forever,
the parcels of land described in Schedule A hereto (the "Land"),
together with~the buildings, structures and other improvements,
including the building fixtures therein, now or hereafter Zocated
on and permanently annexed to the Land, including without limiting
the generality of the foregoing, the walks, ways, parking facilities,
