MEMORANDUM OF LEASE AGREEMENT
TBIS MEMORANDUM OF LEASE AGREEMENT (this Memorandum of
Lease), dated as of November 3, 1980, between AMERICAN PROPERTY
INVESTORS X, a California limited partnership doing business as
AMERICAN PROPERTY INVESTORS X(LTD.) for the purpose of qualifying
in Florida as a foreign limited partnership (Lessor), having
an address at 666 Third Avenue, New York, New York 10017, and THE
SOUTHLAND CORPORATION, a Texas corporation (herein, together with
any corporation succeeding thereto by consolidation, merger or
acquisition of its assets substantially as an entirety, called
Lessee), having an address at 2828 North Haskell Avenue, Dallas,
Texas 75204.
W I T N E S S E T H:
WHEREAS, Lessor and Lessee have entered into a Lease
Agreement, dated as o€ November 3, 1980 (the Lease), whereby
Lessor has demised and let to Lessee the premises (the Premises)
consisting of the land described in Schedule A hereto (the Land),
all buildings and other improvements now or hereafter located on
the Land (the Improvements), the agreements described in Schedule
A hereto (the Agreements), if any, and the respective easements,
rights and appyrtenances relating to the Land and Improvements
