AGREEMENT

This Agreement made the ~ day of ,
1980, by and between CALLOWAY LAND AND CATTLE COMPANY, INC.,
a Florida Corporation, Seller, and RONALD C. KUTSCHINSKI,
~ Trustee, Buyer, for and in consideration of TEN DOLLARS ($10.00),

~~ the following mutual promises, covenants and conditions, and
'; other good and valuable consideration, Seller agrees to sell
~
~' and Buyer agrees to buy that certain 450 acre portion of land
located in St. Lucie County, Florida, being a portion of Tract
'. 36 South, Range 39 Ea st, Section 22, being contiguous to the
; North and East boundaries of said Section 22, particularly
described in Exhibit "A" attached hereto, upon the following
terms:
1. The total amount of land transferred from Seller
to Buyer shall be f our hundred f if ty (4 50 ) acres, more or

less. The said 450 acres shall be divided into parcels. Parcel ;

One shall be 150 acres more or less and shall be known as ~
the "golf course" and shall be contained completely within

the above mentioned 4 50 acre tract. The legal description , ~

for said golf course property shall be described, selected ,

and surveyed at the discretion of Buyer within the said 450 j
acre tract. The remai.ning 300 acres, more or less, of said
tract shall be known as Parcel Two, or "the land surrounding
the golf course" . Buyer shall have sixty (60) days from date ;

hereof to provide Seller with a legal description of the said

450 acres. .
2. The purchase price for Parcel One shall be TEN
DOLLARS ($10.00) provided the said Parcel shall be used as
a golf course to be constructed by Buyer, at Buyer's expense.
Upon the signing of this agreement, Seller shall fully execute
a Warranty Deed for said Parcel One, having a legal description ~ :
provided by Buyer, said Deed to be placed in escrow with Norman i

A. Green, Attorney at Law, as Escrow Agent. Said deed shall ~
be held until December 8, 1981, at which time the Escrow Agent
