Parcel to be released. To arrive at the assigned value of
I each lot, the Seller and Buyer shall look at the land use
plan submitted by Buyer and jointly assiqn a value to each
lot so that the lots in Parcel Two shall have a cost value
equalling ONE MILLION FIVE HUNDRED SEVENTY-FIVE THOUSAND DOLLARS
($1,575,000.00).
~ Buyer hereby guarantees to~Seller that any
i~ releases obtained shall not prohibit access to any unreleased
parcels of land still under mortgage to Seller, and should
any such relea se land-lock any parcel of land still encumbered,
Buyer shall grant to Seller any necessary easement over and
across said released land to any parcel that may be otherwise
inaccessible until all encumbrances from Buyer to Seller are
removed.
' 4. Seller shall provide to Buyer an access road with

'~ proper railroad crossing protection from Glades Road to and
across the Florida East Coast Railroad right-of-way, as provided
j; for in plans to be submitted by Buyer to Seller within sixty
(60) days of the execution of this agreement, Seller having
the right to approve said plans for said road right-of-way.
`~ Seller has thirty (30) days from the date of this agreement

~ ;' to obtain from the Florida East Coast Railroad any necessary

;; permits or easements to construct the above mentioned access

i; road. Seller shall then have one hundred twenty (120) days
;~ from the obtaining of the aforementioned permits or easements
~~ from said Railroad, to complete the aforementioned access

; road, said one hundred twenty (120) day period to commence
?! upon receipt of the plans for said road from Buyer or from

(~ the obtaining of the aforementioned permits or easements from

~~ railroad, whichever is later. In addition, Seller shall either

; tledicate said road to public use, or provide a perpetual ease-
ment over and across same for the use and benefit of any land-

~~ holders of the subject property of this contract. The cost
,; of sa id road sha 11 be borne by Sel ler .
~~ Buyer shall be exclusively responsible for maintenance
of the above mentioned access road unti~ such time as Seller
