ASSIGNMENT OF RENTS, ISSUES, PROCFEDS AND PROFITS
THIS ASSIGNMENT, made and entered into this ,~ ~~Tday of
,%~F(j~-/yldE~. 19~, by WESTON-FLORIDA DEVELOPMENT CORPORATION, a
E'lorida corporation (hereinafter referred to as "Assignor"), to
THE TORONTO-DOMINION BANK, one of the Chartered Banks of Canada
(hereinafter referred to as "Assignee");
W I T N E S S E T H:
WHEREAS, the Assignor is the present owner in fee simple of
real estate situate, lying and being in St. Lucie County, Florida,
as more particularly described in Exhibit "A" attached hereto and
made a part hereof (the "Property"); and
WHEREAS, the Assignee is the owner and holde~ of_a mortgage
on the Property in the original principal sum of U.S. Dollars
54,200,000.00 made by Assignor to Assignee under even date
herewith, and recorded on the ~~day of.~1~~'=`~'~/ . 19~, under
Clerk's F'ile No. ,S / 300~ , Public Records of St. Lucie County,
Florida; and
WHEREAS, as a condition to granting the aforesaid mortgage
loans, Assignee has required the execution of~this Assignment of
the rents, issues, proceeds, and profits of the Property by the
Assignor;
NOW, THEREFORE, in order to further secure the payment of the
indebtedness of the Assignor to the Assignee and in further con-
sideration of the sum of One Dollar ($1.00) paid by the Assignee
to the Assignor, the receipt of which is hereby acknowledged, and
other good a~d valuable con~sideration, the Assignor does- hereby
se!1, ass'ig n, transfer and set over unto the Assignee all of the
rents, issues,~ proceeds and profits of the Property, including but
not limited to all the rents, issues, proceeds and profits arising
from any leases or sales contracts now or hereafter held by the
Assignor in connection with its ownership of the Property.
