HomeMy WebLinkAbout1109__ occurrence of any of said events, a special meeting for the purpose of electing interim Directors will be held upoR due and proper notice being given to all~unit owners in accor~ance with applicable law and the By-Laws of the Associaton. The interim election and all subsequent elections shall take place in accordance with the procedures set forth in the By-Laws as applicable to regular meetings. An employee or an agent of a business entity owner, such as Developer, shall be eligible to serve as a DirecCor of the Association. Developer shall be entitled to elect at least one member of the Board of ~irectors of the Association as long as Developer holds at least one (1) of the nnits in the condominium for sale in the ordinary course of business. 15. BY-LAWS. The operation of the Condominium shali be governed by the By-Laws of the Association. No modification of or amendment to the By-Laws shall be valid unless set forth in or annexed to a duly recorded amendment to this Declaration in accor- dance with the formalities set forth herein. No amendment to the By-Laws shall be adopted which wauld affect or impair the validity or priority of any mortgage held by an Institutional Martgagee covering any condominium parcel without the consent of said Insti- tutional Mortgagee. Defects or omissions in the By-Laws shall not affect the validity of the Condominium or title to the condominium parcels. 16. MAINTENANCE, ALTERATIONS AND IMPROVEMENTS. Responsibility for the maintenance of the condominium property and restrictions upon alterations and improvements thereof shall be as follows: 16.1 Common Elements. ~(a) The maintenance and operation of the common elements shall be the responsibility of the Association and shall be a comnon expense; (b) There shall be no material alteration or furtMer substantial improvement of common elements w~ithout prior approval, in writing, by record qwners of seventy-five percent (75$) of all units. The cost of such alteration or improvement shall be a special assessment and so assessed. 16.2 Units and Limited Common Elements. (a) The Association shall maintain, repair and replace as a common expense: (1) All portions of a unit contributing to the support ot the building, which portions shall include, but~not be limited tc the outside walls of the building, all fixture~ on the exterior thereof, the perimeter baluster and wa21s abutting each balcony and terrace, inc2uding the exterior surfaces thereof, boundary walls of a unit, floors and ceiling slabs, load-bearing columns and load-bearing walls, but shall not include screening, windows, exterior doors, glass and interior surfaces of walls, ceilings and floors; (2) All conduits, plumbing (but not fixtures), wiring and other facilities for the furnishing of utility services which are contained in a unit but which service all or parts of the building other than the unit within which contained; DC -10 64!1K ~~~346 PAGEl10? , ~,~ . -, .,.~~.~., .~~:_.::_.. . ~ - -~_.T_.T_--- ~
