I authorize her to make gqod and sufficient

conveyances to any purchaser and to hold the proceeds of any sale for
such use as she may deem best for the interest of my estate. I further
hereby expressly confer upon her the authority and power to borrow
money for the use of my said estate in any instance where she may think
it necessary and proper, and to secure the same by mortgage, trust deed
or other form of security to or upon any part of my estate; this she
may do without the order of any court.
If my Wife, INEZ S. HALEY fails to survive me or if she fails to
qualify as Personal Representative, then I appoint my wife's sister,
HELEN•J. PARRISH, as alternate personal representative of this Will,
with the same rights and privileges as my Wife would have had if she
had survived me.
IN WITNESS WHEREOF, I have hereunto subscribed my hand and seal,
and publish and declare this instrument to be my Last Will and~Testament,
in the presence of the witnesses named here~nafter, on this l/ day
of September, in the year of our Lord,One Thousand Nine Hundred Eighty.

THE FOREGOING INSTRUMENT was subscribed by the said FRED H. HALEY
in our presence, and acknowledged by him to each of us, and he at the
same time, declared the foregoing in~trument as subscribed by him to be
his Last Will and Testament, and we at his request, have signed our
names as witnesses thereunto, in his presence and in the presence of
each other, and have written opposite our names our respective places
