SPECIAL WARRANTY DEED AND BILL OF SALE Ib~~

THIS INDENTURE, made as of this day of
January, 1981, between FLORIDA POWER & LIGHT COMPANY, a Florida
corporation, hereinafter called the "Grantor", and the ORLANDO
UTILITIES COMMISSION, a statutory commission under the laws
of the State of Florida and the CITY OF ORLANDO, FLORIDA, a
municipal corporation, jointly and without the right of parti-
tion as between them, which right is hereby expressly waived,
whose post office address is P. O. Box 3193, Orlando, Florida
32802, hereinafter jointly called the "Grantee".
(Wherever used herein, the terms "Grantor" and
"Grantee" include all the parties of this instrument and their
successors and assigns.) "
W I T N E S S E T H:
WHEREAS, Grantor is the owner of certain lands
in S t. Lucie County, Florida, upon which a nuclear generating
plant known as St. Lucie Unit No. 2 is being constructed; and
WHEREAS, Grantor and the Orlando Utilities Commis-
sion have heretofore~entered into that certain Participation
Agreement dated as of June 6, 1980, as amended by that certain
First Amendment dated as of December 11, ~980, hereinafter
collectively called the "Participation Agreement", whereby
the Orlando Utilities Commission will participate in the cost
and power output of St. Lucie Unit No. 2 as provided therein;
and
WHEREAS, Grantor and the City of Orlando have
entered into that certain Acknowledgement of Obligations
appended to the Participation Agreement, as supplemented by
that certain Supplemental Acknowledgement of Obligations
appended to the First Amendment, whereby the Orlando Utilities
Commission has requested, for 1ega1 and convenience purposes,
that the City of Orlando hold legal title with it to its
undivided interest in the property herein conveyed; and

o WHEREAS, Grantee wishes to acquire, and Grantor
is willing to grant, an interest to Grantee as a tenant in
common in the property more particularly described hereafter,
~ subject however, to all of the terms and conditions of the '
~ Participation Agreement.
