CONSENT
The undersigned, the sole stockholders of AMGER O~RPORA-
TION, and Guarantors of the obligations of AMGER CORPORATION,
hereby consent to the above mortgage modification agreement and
confirm their liability as Guarantors of the obligation of
AMGER CORPORATION under the aforementioned promissory note and
mortgage. .
