successor by merger to First Newport Realty Investors,
formerly known as Alison Mortgage Investment Trust, a
California business trust (the "Assignor"), does hereby
sell, convey, transfer and assiqn unto AMEX i3ANK LIMITED
(tl~e "Assignee"), having its principal place of business
at 120 Moorgate, London, EC2P 2JY, England, with~out
recourse and without.representation or warranty, wheCher
express or implied, or by operation of law or otherwise,
all of 'the Assignor's right, title and interest in and to .
those certain mortgages described in Exhibit A attached
hereto (collectively the "Mortgage") together with those
certain promissory notes (collectively the "Note") secured
thereby, and' all sums ct money due and to become due tliereon,
including without limitation, any and all rights to casualty
insurance proceeds, and all other instrument~ including the
mortgages, documents, rights or interest~ evidencinq,
securing or in any way pertaining to the Mortgage and the
Note (collectively the "Loan Documents"). The Assignor '
hereby specifically disclaims all covenants, representations
and warranties including, but not limited to, all warranties
~et forth in Section 673.3-417, Florida•Statute~.
