ASSIGNMENT ~
FOR GOOD AND VALUADLC CONSIUERATION, AMEX a~NK
LIF]ITFD, having its principal place of. business at 120
Moorgate, London, EC2P 2JY, England (the "Assignor"),
does hereby sell, convey, transfer.and assign unto THE
GREENWICH SAVINGS BANK (the "Assignee"), having its
principal place of business at 1356 Broadway, New York,
New York 10018, without recourse and without representa-
tion or warranty, whether express or implied, or by
operation of law or otherwise, all of the Assignor's
right, title and interest in and to those certain mortgages
described in Exhibit A attached hereto (collectively the
"Mortgage") together with those certain promissory notes
(collectively the "Note") secured thereby, and all sums of ~
money due and to become du~ thereon, including without
limitation, any and all rights to casualty insurance pro-
ceeds, and dll other instruments including the mor~gages,
documents, rights or interests evidencing, securing or '
in any way pertaining to the Mortgage and the Note (co]-
lectively the "Loan Documents"). The Assignor hereby ~
specifically disclaims all covenants,. representations and
warranties including, but not limited.to, all warranties
set fortl~ in Section 673.3-417, E'lorida Statutes.
By acceptance of this Assignment, the Assignee
agre.es to assume the performance of all obligations on the
part of the Assignor to be performed with resp~ct to the
Mortgage, the Note and the Loan Documents.
IN WITNESS WHEREOF, the undersigned have executed
this instrument on Septembcr 3rd, 1980.
