FOR GOOD AND VALUABLE CONSIDERATION, FIRST NEWPORT
CORPORATION, a Maryland corporation, whose address is 4440 Von Karman
Avenue, Suite 300, Newport Beach, California, 92660, successor by merger
to First Newport Realty Investors, formerly known as Alison Mortgage
Investment Trust, a California business trust (the "Assignor"), does hereby
sell, convey, transfer and assign unto LOYOLA FEDERAL SAVINGS AND
LOAN ASSOCIATION, a national banking association (the "Assignee"),
without recourse and without representation or warranty, whether express
or implied, or by operation of !aw or otherwise, all of the Assignor's right,
title and interest in and to those certain mortgages (collectively the
"Mortgage"), described in Schedule A attached hereto, together with those
certain promissory notes (collectively the ."Note") secured thereby, and
those certain agreements of assumption (the "Assumptions"), described in
Schedule B, and all sums of money due and to become due thereon, including
without limitation, the right to collect the increase in interest as more fully
sei forth in the Assumptions, and any and all rights to casualty insurance
proceeds, and all other instruments, documents, rights or interests evi-
dencing, securing or iri any way pertaining to the Mortgage, the Note, and
the Assumptions (collectively the "Loan Documents").
