GENERAL PARTNERSHIP AGREEMENT
THIS AGREEMENT, is being entered into in Broward County,
Florida, this 29~day of February, 1980 by and between RONALD L.
TOMECEK, hereinafter TOMECEK, ROBERT ZANKL, hereinafter ZANKL or
the "Controlling Partner", GARY GUYETTE, hereinafter GUYETTE, and
WILLIAM BURKE, hereinafter BURKE.
W I T N E S S E T H:
WHEREAS, the Partners hereto desire to purchase real property
' located in the State of Florida to construct, own and operate thereon
warehouseluildings; and
WHEREAS, it is the desire of the Partners to form a Partnership
to purchase and take title to the aforementioned property and ware-
house buildings:
NOW,THEREFORE, it is agreed as follows:

NAME
The parties do hereby form a Partnership under the name of
Port St. Lucie Warehousing, a general partnership.

The business of the Partnership shall be to acquire the
real property described in that certain contract dated October 24,
1979 by and between RONALD L. TOMECEK and GENERAL DEVELOPMENT CORP-
ORATION for the purchase of unimproved real property and option of
a'contiguous parcel (the "Contract") which Contract is hereby mad~
a part hereof by reference. Said Contract or benefits therein shall
be assigned to the partnership, for the purpose of constructing, owning
and operating warehouses thereon. It is contemplated that the partner-
ship will contract with construction companies for said improvements.
Title to the property to be acquired shall be in the name of
Pnrt St. Lucie Warehousing, a general partnership. The principal
place of business will be 2050 Griffin Road, Fort Lauderdale, Florida.
The.property to be owned by the Partnership may be conveyed,
mortgaged, encumbered, sold, or otherwise transferred only by the
Controlling Partner with the written consent of TOMECEK which consent
shall not be unreasonably withheld, or with the written consent of
