TOl~lECEK which consent shall not be unreasonably withheld, or with the
written consent of the.Controlling Partner, by the Managing Partner
(hereinafter defined).
The Partnership shall have the authority to amend this Agreement
and enter into any other such businesses of similar nature or relation
as shall be unanimously agreed upon by the Partners.

The Partnership shall commence upon the execution of this
Partnership Agreement and shall continue until terminated as herein-~
after provided.

Ii~1ITIAI, CONTRIBUTIONS
Each Partner's initial contribution to the partnership shall
be the percentage indicated below of all monies necessary to purchase
the land described in the Contract, and to maintain said land. These
monies are to be paid into the partnership as needed under the Contract

CAPITAL CONTRIBUTZONS
From time to time during the business of the partnership,
should Zankl and Tomecek mutually determine that further contri-
butions to capital are necessary, then in that event, capital con-
tributions sha12 be made by the Partners in proportions of Article IV.
