FOURTH MODIFICATION OF CONSOLIDATED NOTES AND MORTGAGES
THIS FOURTH MODIFICATION OF NOTES AND MORTGAGES -

and among AQUA RABELLA. INC., a Flori a corporation, AQUA
RABELLA ASSOCIATES, a Florida partnership, AQUA RA, INC.,
a Florida corporation (hereinafter sometimes collectively
referred to as "MORTGAGORS"), and RYDER REALTY, INC., a
Florida corporation;
WITNESSETH, that:

WHEREAS, RYDER REALTY, INC. is the owner and holder
of a certain Mortgage executed by AQUA RABELLA, INC. and
AQUA RABELLA ASSOCIATES in favor of WINDMILL VILLAGES OF
AMERICA, INC., recorded in Official Records Book 204, at
Page 116, and a certain Mortgage from AQUA RA, INC. and
AQUA RABELLA ASSOCIATES, recorded in Official Records Book
20~, at Paqe 101, both of wnich Mortgages were consolidated
by Modification and Consolidation Agreement recorded in
Official Records Book 238, at Page 1953, and were further
modified by Modification and Extension of Note and Mortgage
and Third Modification of Consolidated Notes and Mortgage,
encumbering the property described at Exhibit "A" attached
hereto and made a part hereof, said ownership being evi-
denced by certain Assignments of Mortgages from WINDMILL
VILLAGES OF AMERICA, INC. to RYDER REALTY, INC., recorded
in Official Records Book 329, at Page 1067 and 1069 of the
Public Records of St. Lucie County, Florida; and
WHEREAS, AQUA RABELLA, INC. and AQUA RABELLA ASSO-
CIATES have requested that part of the foregoing properties

described at Exhibit "B" attached hereto and made a part _
hereof, be released; and
~ WHEREAS, AQUA RABELLA, INC. desires the reassignment
of a certain. Non-Recourse Purchase Money Note~and Mortgage
