WHEREAS, Note C is secured by a security agreement creat-
ing a security interest in certain items of tangible personal
property as more particularly identified therein, Nhich secur-
ity interest is pecfected by the virtue of a f inancing state-
ment f i led with the Of f ice of the ~ Secretary of State of the
State of Florida on December 18, 1979, file No. 07332 and re-
corded in~Official Record Book 322 at Page 263 of the Public
Records of St. Lucie County, Floxidaf and
WHERBAS, Note D is secured by a security agreement of even
date which creates a security intexest in certain tangible per-
sonal property as more particularly identified therein and
which security interest will be perfected by appropriate filing
and recording; and
WHEREAS, Note E is secured by a mortgage given by Borrower
to Lender on certain real property in St. Lucie County,
Florida, more particularly described as follows:
The f~est 157 feet of the East 695 feet of the North 159
feet of the South 376 feet of the Southeast 1/4 of the
Southeast 1/4 of Section 6, Township 35 South, Range 40
East, together with a non-exclusive easement for ingress
and egress over the West 50 feet of the East 588 feet of
the North 162 feet of the South 217 feet of the Southeast
1/4 of Section 6, Township 35 South, Range 40 East
which mortgage is recorded in Official Record Book 341 at Page
704 of the Public Records of St. Lucie County, Florida; and
WHEREAS, Borrower is amenable_ to assuming the indebtedness
evidenced by the aforementioned promissory notes of RONALD B.
CRIDER, ROBERT A. ROBERTS and BROADCAST AUTOMATION ASSOCIATES,
INC. for valuable consideration received and in order to induce
Lender to make the loan evidenced by Note 'D" and to enter into

this Modification Agreement; and
WHEREAS, Borrower and.Lender wish to consolidate the in-
debtedness evidenced by aforementioned promissory notes; and
