6. This Agreement shall be construed under the iawa of
the State of Florida and the venue of any action hereunder by
Lender may, at its option, be in St. Lucie County, Florida.
All payments hereunder shall be in legal tender of the United
States of America.
7. Notwithstanding anything herein to the contcary, it is
the express intent of Lender that no interest, considezation oc
charge in excess of that permitted by the laws of the State of
Florida may be accrued, charged or taken or become payable here-
under. In the event it is hereafter determined that Lender has
taken, charged or reserved interest in excess of that permitted,
whether due to prepayment, acceleration or otherwise, such ex-

cess shall be refunded to Borrower or credited against the sums
due Lender hereunder.
8. As hereby modif ied, all terms and conditions of the

above described Promissory Notes, Mortgage and Security Agree-
ments are hereby ratified, confirmed and approved. In the event
of any conflict between the terms of this Modification Agreement
and the aforementioned Promissory Notes, Mortgage and.Security
Agxeements, the terms of this agreement shall prevail.
~ 9. This agreement shall be binding upon and inure to the
benefit of the parties hereto and their personal representa-
tives, heirs, beneficiaries, successors and assigns.
. IN WITNESS WHEREOF, the parties have hezeunto executed
this Agreement the day and year first above written.
