"Seoond Mortgage") , dated January 22, 1981, which
Second Mortgage on the Property shall secure the
~~ayment of the Promissory Notes, and that Peter J.
Darack, as a director of Vaucluse, be and hereby is
authorized to execute such Second Mortgage; and
FURTHER RESOLVED:
that Corporate Trust N.V., as a director of Vaucluse,
and Peter J. Barack, also as a director of Vaucluse,
are each individually hereby authorized to do any and
all other things necessary or required to consummate
the purchase by Vaucluse of the~ Property, including,
without limiting the generality thereof, amending,
and executing any such amendment or restatement or
redrafted version of, the Contract, the Assignment,
the Promissory Notes, or the Second Mortgage.
