Capital, S.A., a Panama corporation, as mortgagor, and Dewey
Property Corp., as mortgagee, a copy of which First Mortgage is
attached hereto as Exhibit "E." Mortgagor and Mortgagee hereby
agree that any default by the Mortgagor with respect to the First
Mortgage shall constitute a default by the Mortgagor under this
Second Mortgage.
