The unc7crsiqned by these Articles associate themselves
for the purpose of forming ~ corporation not for profit, under the
Statutes of the S~,~Cr of Florida and certif.y as follows:

be hereafter,referred to as the Corporation. ~
ARTICLE 2
' PURPOSE
2.1. The pur~ose Eor which the Corporation is organized
is to provide sewer and water service to any anc~ all lands
developed by OCF.AN TOWERS DEVELOPMENT CORPORATION, its successors
and assiyns, including, into .perpetuity, all units, huilclings,
Eacilities and other structures, whether condominiums or ~therwise,
upon these lands. ,
2.2 The Corporation will make no distributions of income
to its members, directors or officers.
ARTICLE 3 ~
POWERS
The ~wers ~f the Corporation will include and be
governed by the Eollowinq provisions.
3.1 The Corpc~ration will have all of the c~mmon law anc~
statutory powers of a corpor.ation not for profit that are not in
conflict with the terms of these Articles.
3.?_ Thc~ Cor~or.ation will have all of the ~wers and
duties set Eorth in the F'lorida Statutes f_or utilities corporation,
except.as limit~c3 by these Articles; and it will have all oE the
powers and duties reasonabl.y necessary to oPerate said sewer and
water faci_lities, incluc~ing but not limited to the following:
_ a. To mak~ and collect assessments against members
to defray the costs, expenses and losses of the separate sewer and
water Eacilities.
b. To use the proceeds of assessments in the
exercise of. its powers and duties. _
c. To huy or lease hoth real and personal property
for sewer or water facilities use, and to sell or otherwise ~ispose
of property so acquired.
d. T~ maintain, repair, replace and operate sewer
and water f_aci.tities.
e. T~ f~urchas~ insurance for its property; and
insurance for the prot~~ction of the Corporation and its members.
